Job Description

Full Onsite

Key Responsibilities:

A. Legal Advisory & Compliance

  • Provide legal advice on corporate, regulatory, and operational matters.
  • Ensure compliance with applicable laws, regulations, and industry standards.
  • Monitor legal and regulatory developments and assess their impact on the Company.
  • Develop and implement compliance programs to mitigate legal risks.

B. Contract Management

  • Draft, review, negotiate, and manage contracts, agreements, MOUs, and other legal documents.
  • Ensure contracts protect the Company’s interests and comply with internal policies.
  • Maintain and update legal document repositories, including renewals and amendments.

C. Risk & Litigation Management

  • Identify and mitigate legal and compliance risks.
  • Conduct internal audits and investigations as needed.
  • Handle dispute resolution matters and oversee litigation, mediation, and arbitration proceedings.
  • Coordinate with external legal counsel and provide updates to management on case developments.

D. Corporate Governance

  • Assist in developing and maintaining corporate policies, resolutions, and governance documents.
  • Support board meetings and ensure compliance with governance requirements.
  • Advise on shareholder and other corporate governance matters.

E. Mergers, Acquisitions & Strategic Transactions

  • Provide legal support for mergers, acquisitions, joint ventures, and related transactions.
  • Conduct due diligence, review transaction documents, and assist in deal structuring.
  • Draft and negotiate transaction agreements and coordinate with internal and external stakeholders.

F. Employee & Stakeholder Support

  • Provide legal guidance and training to employees on compliance and legal matters.
  • Address legal concerns related to contracts, workplace policies, and business operations.
  • Collaborate with stakeholders to resolve legal issues effectively.

G. Regulatory Liasons

  • Serve as the Company’s liaison with government agencies and regulatory bodies.
  • Prepare, submit, and manage required regulatory filings, reports, and documentation.
  • Respond to regulatory inquiries, inspections, and compliance requirements.

H. Legal Research & Other Duties

  • Conduct legal research and provide recommendations on emerging legal issues.
  • Stay current with legal, regulatory, and industry developments.
  • Perform other legal and special-project duties as assigned by management to support business objectives.

I. Other Legal-related Tasks

  • Perform other legal-related tasks or responsibilities as directed by the VP for Business Development or other executives.
  • Support special projects, campaigns, or initiatives as required to achieve business objectives.

Minimum Qualifications

Minimum Qualifications:

  • Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree and a member of the Philippine Bar.
  • At least 3-5 years of relevant experience in corporate or financial law, preferably in the lending, banking, or financial services industry.
  • Proven expertise in contract drafting, review, and negotiation.
  • Experience in regulatory compliance, litigation, and corporate governance.
  • Strong understanding of Philippine laws, particularly in lending, banking, securities, and data privacy regulations.
  • Familiarity with labor laws, taxation, and intellectual property is an advantage.
  • Proficiency in drafting legal documents and communicating complex legal matters effectively.
