The role of Paralegal is to provide dedicated support to Office of the General Counsel in terms of monitoring the Company’s statutory compliance requirements, general corporate housekeeping, drafting of letters and pleadings (when necessary), liaise with government agencies and attending to other legal related matters (see detailed role description below).

Key Responsibilities

	<li>Assist in preparing and sending demand letters, ensuring physical copies are signed by the Legal Compliance Head before dispatch.</li>
	<li>Provide assistance to the Business Development (BD) team by compiling legal, regulatory, and other necessary documents for bidding processes.</li>
	<li>Help prepare documents required for the renewal of licenses.</li>
	<li>Assist in monitoring and ensuring that all licenses and mandatory filings are up to date.</li>
	<li>Support the updating of the contract database by checking the status of engagements and uploading fully signed documents as necessary.</li>
	<li>Assist in creating and maintaining a separate tracking sheet for Master Service Agreements (MSAs), Mutual Non-Disclosure Agreements (MNDAs), and Data Processing Agreements (DPAs), ensuring the validity and signatures of both parties.</li>
	<li>Help ensure that all relevant documents for existing and ongoing clients, such as MSAs, MNDAs, and DPAs, are complete and properly filed.</li>
	<li>Assist in the monitoring and coordination of notarial requests, including the arrangement of monthly payments.</li>
	<li>Support coordination with HR for scheduling monthly Data Privacy Training.</li>
	<li>Assist in drafting materials for Data Privacy Officers (DPO).</li>
	<li>Provide assistance in various ad hoc projects as needed.</li>

Legal Intern

Role Summary:

As part of the second line of defense, the Trust Risk Officer is responsible in assisting the Risk Management Head to identify, assess, mitigate, report, and monitor operational risks in accordance with the duly approved Risk Management Manual and existing regulations. The role holder shall assist in designing, developing, and implementing operational risk management activities in coordination with concerned groups within the organization.

Main Duties and Responsibilities:

Risk Management Committee Reports: 

<ul>
	<li>Prepare the operational risks-related updates for ATC &amp; AAMI Risk Management Committee to empower the Board to make informed decisions by providing meaningful insights and aid them to effectively carry out fiduciary duty of oversight.</li>
	<li>Prepare and present the operational risks-related updates for CDV and Funds Risk Management Committee to provide clear understanding of the prominent risks that demand attention and resonates with the Board’s strategic decision-making process.</li>
</ul>

Incident Management:

<ul>
	<li>Facilitate the resolution of each investment risk-related incident to mitigate the risk, contain the damage and prevent future re-occurrence of the similar incident.</li>
</ul>

Business Continuity Management:

<ul>
	<li>Implement the BCM program that identifies threats and contingencies and assess the capabilities and responses to assure continuous business operation and protect the interest of stakeholders.</li>
</ul>

Risk Control and Self-Assessment: 

<ul>
	<li>Assess the overall operational risk and improve visibility to understand the risk posture and identify control deficiencies. </li>
	<li>Perform operational risk analysis, navigate and proactively aid in building strategic shield against potential risks.</li>
</ul>

Policy Development/Manual Review/KRI:

<ul>
	<li>Review investment-related policies and risk limits and limit setting to check if it is being implemented as intended, effective and relevant. </li>
	<li>Assess the existing KRI thresholds which are crucial to manage risk exposure and protect the bottom line. 
	 </li>
</ul>

Risk Awareness Campaign: 

<ul>
	<li>Develop and disseminate risk bulletins and trainings materials to provide information that is equally engaging and educational that would aid employees in their day-today management of risk.</li>
</ul>

Risk Officer

Together with the Regulatory and Compliance Manager, the position holder is responsible for the management of activities relating to regulatory and compliance requirements for all ARI Renewable projects. 

Outcomes Expected and Responsibilities:

<ul>
	<li>Establishes a strong working relationship with government agencies responsible for the policy and regulatory framework of renewable energy.</li>
	<li>Conducts research and develops reference materials to support External engagement plans.</li>
	<li>Stays current on relevant industry and government compliance programs related to renewable energy and provides updates regarding changes in legislation, regulations and other requirements that may result in organizational response.</li>
	<li>Facilitates timely acquisition of permits and approvals during the Pre Development, Development and Execution Stage of ARI Renewable Projects. Requirements may come from but not limited to the following agencies: ERC, NGCP, DOE, BOI as well as regulations under the EPIRA, RE Law, and other related power industry regulations. </li>
	<li>Manages and ensures the regular coordination of with various agencies such as DENR, NCIP, DPWH, NWRB, NIA, DAR or any other concerned agency for the acquisition of the necessary permits and approvals.</li>
	<li>Ensures complete documentation of compliance with external statutory, regulatory requirements and essential permits for handover to Operating BU.</li>
	<li>Reports progress of permit acquisitions to the top management including concerns and irregularities for proper action.</li>
	<li>Coordinates with other departments for the necessary information or assistance required for the preparation and processing of permits clearances.</li>
</ul>
